The Corporate and Criminal Fraud Accountability Act of 2002, known more commonly as the Sarbanes-Oxley Act, creates Whistleblower Protection for employees of publicly traded corporations. Under the Act, an employee enjoys protections designed to protect employees against retaliation when the employee provides information that the employee reasonably believes to be a violation of federal securities law, the rules of the Security & Exchange Commission, or “any federal law relating to fraud against shareholders.” The Act not only protects against retaliation for whistleblowing but it also encourages whistleblowing. Section 806 of the Act creates civil penalties and Section 1107 of the Act creates new criminal penalties.
